By proceeding beyond this point you agree as follows:
Parties
This agreement is made between you and Tourdates, a limited company registered number is 4651574 and whose registered office is at 4th Floor, Greenland Street, Camden, London NW1 0ND("Tourdates").
Definitions
"Forum" means any part of the Website where a User may upload Web Content and/or display information which is not originated by Tourdates;
"Member" means any registered user of the Website;
"Messages" mean any information posted in the Forum by Users;
"User Data" means any information displayed at or acquired via the Website concerning Users;
"Users" means you, the Visitors and Members but excluding Tourdates;
"Visitor" means any unregistered user of the Website;
"Web Content" means all software, artwork, layout, logos, marks, music, video and any other constituent elements of the Website;
"the Website" means the website the homepage of which is currently found at www.tourdates.co.uk and any other webpages hosted by Tourdates accessed solely from this website or any future incarnation of this website.
User Obligations and Code of Conduct
- You shall not use the Website, the Web Content or the User Data in any unlawful manner.
- You shall not use the Website in any manner likely to injure, offend or become a nuisance to Tourdates or any User and in particular you shall not send so-called spam emails to any User.
- You shall not sell, republish or otherwise dispose of User Data without the written consent of the parties to whom the User Data relates.
- You shall not copy any part of the Web Content without the written consent of Tourdates
- You shall not attempt to access any Web Content unless expressly permitted to do so or introduce any virus or other technological harm to the Website or to any Member.
- You shall observe any codes of conduct displayed at the Forums from time to time.
Data Protection
- Tourdates may store, use and otherwise process User Data relating to you for the purposes of its own market research and any other use permitted by the applicable Data Protection laws or consented to by you. For the avoidance of doubt, Tourdates shall not supply User Data relating to you to any third party without your permission.
- Tourdates may in its sole discretion delete any Messages posted by you without reference to you.
Liability and Indemnity
- Neither Tourdates nor any director, subcontractor or employee of Tourdates shall be liable for any loss caused to you in connection with the Website save in respect of any negligently caused physical injury or death. In particular, Tourdates makes no warranty as to the accuracy of User Data or Messages.
- You warrant that any User Data you supply (if any) and any Messages posted by you shall not be blasphemous, defamatory, deliberately or recklessly false or otherwise likely to injure or infringe the rights of any person and you indemnify Tourdates for any loss caused to Tourdates resulting from a breach of this warranty or any other undertaking under this agreement.
Governing Law
The laws of England shall govern this agreement and the English Courts shall have exclusive jurisdiction.

Definitions

"Membership Fees" means the fees (if any) displayed at the Website for the particular Membership Services;
"Membership Period" means the period commencing on the date of this agreement and expiring at the end of the period specified at the Website for the relevant Membership services or (if earlier) unless terminated earlier as provided under this agreement or by your ceasing to become a Member at any time;
"Membership Services" means the particular bundle of services to be provided by Tourdates as displayed at the Website;
"Messages" mean any information posted in the Forum by Users;
"User Data" means any information displayed at or acquired via the Website concerning Users;
"Users" means you, the Visitors and Members but excluding Tourdates;
"Visitor" means any unregistered user of the Website;

Membership Services
- Tourdates shall provide the Membership Services during the Membership Period subject to the payment of the Membership Fees.
- Tourdates may vary the Membership Services in its reasonable discretion from time to time without notice save that any material change in the Membership Services shall be notified to you and you shall be entitled to terminate the Membership Period immediately by written notice.
- You may cancel your membership at any time during the first seven (7) days and Tourdates shall refund any Membership Fees paid for that period.
- Tourdates may terminate the Membership Period immediately upon written notice if you should default on payment of the Membership Fees of if you are in breach of any of the User obligations set out in clause 3.
- Tourdates shall not be liable for the failure to provide the Membership Services as a result of any event affecting the internet generally, or otherwise outside of the control of Tourdates.
Liability and Indemnity
- Neither Tourdates nor any director, subcontractor or employee of Tourdates shall be liable for any loss caused to you in connection with the Website save in respect of any negligently caused physical injury or death. In particular, Tourdates makes no warranty as to the accuracy of User Data or the content of Messages.
- Tourdates maximum aggregate liability to you arising from any breach of Tourdates’ obligations to provide the Membership Services shall be limited to the Membership Fees actually paid by you for those services.
- You warrant that any User Data you supply (if any) and any Messages posted by you shall not be blasphemous, defamatory, deliberately or recklessly false or otherwise likely to injure or infringe the rights of any person and you indemnify Tourdates for any loss caused to Tourdates resulting from a breach of this warranty or any other undertaking under this agreement.

"Gross Revenue" means all income actually received by us from the sale at the Website of Web Content provided by you;
"Member" means any registered user of the Website;
"Messages" means any information posted in the Forum by Users;
"Net Revenue" means Gross Revenue less sales taxes and any per unit transactions costs for fulfilling the sale or collecting the income;
"User Data" means any information displayed at or acquired via the Website concerning Users;
"Users" means you, the Visitors and Members but excluding Tourdates;
"Visitor" means any unregistered user of the Website;
"Web Content" means all software, artwork, layout, logos, marks, music, video and any other constituent elements of the Website;

Provision of Content
- You warrant that all Web Content provided by you shall be original and wholly owned by you, free of any claim by any third party and the sale of which shall not infringe the right of any third party.
- To the extent that any musical works are embodied in the Web Content provided by you, you agree that (a) where you are a member of the MCPS Tourdates shall be able to obtain a licence from the MCPS for the sale of such Web Content on normal industry rates and (b) where you are not a member of the MCPS you waive all entitlement to any mechanical royalties to which you may be entitled for the sale of such Web Content.
- Tourdates may disable or take down any Web Content without notice to you.
Share of Revenue from Content
- All Web Content provided by you for exploitation at the Website shall be subject to a profit share agreed by both parties at the time such content is uploaded.
- The profit share shall be a share of Net Revenue, save that any payments due to collecting societies for the delivery of such content shall be deducted from your share.
- Your share of profits shall be remitted to you in accordance with the accounting procedures displayed at the Website.
